BNPL TERMS AND CONDITIONS


1. The Book Now Pay Later (“BNPL”) offer is a conditional reservation facility provided by The Sleep Company (“Company”) to eligible customers (“Customer”) for reserving selected products upon payment of a booking amount.

2. BNPL Booking is available exclusively for purchases made at the Company’s physical retail stores and shall not be applicable to purchases made through the Company’s website, mobile application, marketplaces, third-party platforms, telephonic orders, or any other online or non-store channel, unless expressly enabled by the Company in writing. Any refund payable in respect of a BNPL Booking under these Terms & Conditions shall be processed within 5–10 working days to the original payment method used for the transaction, subject to applicable law.

3. The Customer shall pay a booking amount of Rs.9,999/- (“Booking Amount”) to reserve the product under the BNPL offer.

4. The Booking Amount of Rs.9,999/- is strictly non-refundable and shall stand forfeited if the Customer cancels, withdraws, or fails to complete the purchase within the Validity Period for any reason whatsoever, and the Customer acknowledges that the Booking Amount constitutes consideration for reserving the product and blocking inventory.

5. The Booking Amount shall be adjusted against the final purchase price only if the Customer completes the purchase within the prescribed Validity Period.

6. The Booking Amount is paid solely for reserving the product and blocking inventory and represents reasonable compensation to the Company for administrative costs and loss of business opportunity; it shall not be treated as a security deposit and shall not carry any interest.

7. Upon payment of the Booking Amount, the Company shall issue an order confirmation, which shall remain valid for a period of six (6) months from the date of order confirmation (“Validity Period”).

8. The Customer must complete the full payment of the product within the Validity Period to convert the booking into a confirmed sale.

9. If the Customer fails to complete the purchase within the Validity Period, the order confirmation shall automatically lapse without notice, the Company shall have the right to release and sell the reserved product to any third party, and the Booking Amount shall stand forfeited without any refund.

10. The BNPL booking constitutes only a limited and conditional reservation right and shall not be construed as a completed sale, transfer of ownership, or delivery obligation unless full payment is received and a final invoice is issued by the Company.

11. Ownership, title, and risk in the product shall transfer to the Customer only upon receipt of full payment and delivery of the product.

12. The price applicable to the Product at the time of the BNPL Booking shall be the maximum price payable by the Customer under such Booking. Accordingly, any subsequent increase in the Product price shall not affect the price payable by the Customer, and the Customer shall remain entitled to purchase the Product at the booking price. However, if the Product is subsequently offered at a lower price, or any applicable coupon, discount, or promotional benefit becomes available before full payment, the Customer may avail such lower price or benefit, subject to the applicable terms, conditions, and eligibility criteria of such offer.

13. The Company reserves the right to cancel, refuse, modify, or discontinue any BNPL booking or the BNPL offer at its sole discretion, including but not limited to cases of product discontinuation, pricing errors, suspected fraudulent transactions, or operational constraints. In such cases, the Company’s sole liability shall be limited to refund of the Booking Amount received from the Customer.

14. The Company shall not be liable for any delay or failure in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, supply chain disruptions, strikes, or force majeure events.

15. The Company shall not be liable for any loss, damages, or claims arising due to lapse of booking, forfeiture of Booking Amount, price changes, or failure of the Customer to complete the purchase within the Validity Period, and the Company’s total liability shall not exceed the Booking Amount paid by the Customer.

16. By making the Booking Amount payment, the Customer agrees to and accepts these Terms & Conditions.

17. The Company reserves the right to amend these Terms & Conditions from time to time; however, the Terms & Conditions applicable at the time of booking shall continue to govern such booking.

18. These Terms & Conditions shall be governed by and construed in accordance with the laws of India, and courts at Mumbai, Maharashtra shall have exclusive jurisdiction.

19. Payment of the Booking Amount shall constitute full and binding acceptance of these Terms & Conditions by the Customer.
